Terms of Use

CritiSense consents to the User's browsing the
Site and the information, content and/or materials posted on
the Site ("Materials") on User's computer (including
printing pages of the Site) for User's personal, private and
non-commercial use only, and not for redistribution, unless
consented to in writing and in advance by CritiSense. The use
or misuse of the Materials, except as permitted herein, is expressly
prohibited and may be in violation of copyright law, trademark
law, communications law, and other laws and regulations.

CritiSense reserves the right to enforce its proprietary and
intellectual property rights to the fullest extent permitted
under law. All Materials are the property of CritiSense and/or
its licensors, and CritiSense and/or its licensors shall retain
all rights, title and interests in and to such Materials and
all intellectual property rights relating thereto, including,
without limitation, any copyrights, patents, trademarks, logos,
design rights and any other proprietary rights. No transfer
or grant of any rights is made or is to be implied by any provision
contained in the Site. The User shall not infringe upon any
of the above rights. Without limiting any of the aforesaid,
Users may not copy, reproduce, republish, upload, post, transmit,
or otherwise distribute the Materials or any part thereof. Modification
of the Materials or use of the Materials for any purpose except
as described in Section 1 hereto, including, without limitation,
the use of Materials on any other website or networked computer
environment, is strictly prohibited, and shall be deemed a violation
of CritiSense's proprietary and intellectual property rights.

This Site and the Materials therein are provided as a convenience
to the User on an "as is" and "as available"
basis, without warrants or warranties of any kind, either express
or implied, including (but not limited to) warranties of title
or non-infringement or implied warranties of merchantability
or fitness for a particular purpose, in relation to the availability,
accuracy, reliability or content of the Site and the Materials.
Access to and use of the Site and all Materials is at the User's
own risk.

Critisense does not warrant that access to the Site shall
be uninterrupted or error-free. CritiSense makes no representation
or warranty as to the accuracy or completeness of the information
posted or referenced on the Site, including, without limitation,
information prepared by third parties which is posted on the
Site or in websites that are linked to the Site. CritiSense
expressly disclaims any duty to update information appearing
on the Site. Any Materials containing projections or other forward-looking,
future-regarding statements are only predictions, and actual
events or results may differ materially from those contained
in such projections or forward-looking statements.

convenience only. CritiSense does not control or express any
opinion on the content of any third party pages, and expressly
disclaims any liability for all third party information and
the use of such information.

CRITISENSE DOES NOT GIVE WARRANTY OF ANY KIND, CRITISENSE
SHALL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND (INCLUDING,
WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE
OR CONSEQUENTIAL DAMAGES), LOST PROFITS OR BUSINESS INTERRUPTIONS
ARISING OUT OF OR RELATING TO THE ACCESS TO, USE OF OR INABILITY
TO USE THE SITE OR THE MATERIALS, EVEN IF CRITISENSE HAS BEEN
ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS
DO NOT ALLOW EXCLUSION OF CERTAIN WARRANTIES OR LIMITATIONS
OF LIABILITY, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT
APPLY TO A SPECIFIC USER. THE LIABILITY OF CRITISENSE WOULD
IN SUCH CASE BE LIMITED TO THE GREATEST EXTENT PERMITTED BY
LAW.

Any communication or information transmitted to CritiSense
via the Site is not confidential, and the User agrees that CritiSense
may use such communication or information for any purpose whatsoever,
including reproduction, publication and posting. CritiSense
can not ensure and does not warrant that third parties shall
not have access to such communication or information.

CritiSense can not and does not review the content posted
by Users on the Site, and is not responsible for such content.
CritiSense may at any time and at its discretion remove any
content posted by Users. By submitting material to the Site
(a "Submission"), the User agrees and acknowledges
that: (a) Submission does not contain any item that is unlawful,
libelous, inflammatory or otherwise unfit for publication; (b)
User has used reasonable efforts to scan and remove any viruses
or other contaminating or destructive features from Submission;
(c) User owns the Submission or has an unlimited right to provide
it to the Site, and CritiSense may publish the Submission free
of charge and/or incorporate it or any concepts described in
it in its products without accountability or liability; and
(d) User shall not take action against CritiSense in relation
to Submission and agrees to indemnify CritiSense for any action
taken by any third party in relation to the Submission.

These terms shall be construed and enforced as an agreement
in accordance with the laws of the State of Israel. The competent
courts of the city of Tel Aviv shall have exclusive jurisdiction
over any action ensuing from this Agreement.

CritiSense reserves the right to change, modify, or remove
portions of these terms at any time, at its discretion. Please
check these terms periodically for changes. Continued use of
the Site following the posting of changes to these terms signifies
acceptance of such changes on part of the User. |
